Software is defined as the Innovative Data Solutions, Corp. (“IDS”) computer program titled ROUTE EXPERT and includes any and all updates or maintenance releases thereto. This Agreement applies to the: (i) demonstration; (ii) single-user; (iii) multi-user; and (iv) Special Editions ("SE") versions of the Software. Do not use the Software until you have carefully read this Agreement. This Agreement sets forth the terms and conditions for licensing of the Software from IDS to you, and installing the Software indicates that you have read and understand this Agreement and accept its terms and conditions.

License and Certain Restrictions

Demonstration Versions
If this Agreement is included with the single-user demonstration version of the Software, you are granted a limited non-exclusive license to use a copy of the enclosed Software for a limited period of time. Thereafter, you may purchase the right to use either the single-user or multi-user versions of the Software which license terms are specified below. Should you decide not to purchase a licensed version of the Software, you are required to return the disk containing the demonstration version and delete all copies of the Software installed on your computer(s).

Single-User Version
If you have purchased a single-user version of the Software, you are granted a limited non-exclusive license to use a copy of the Software on a single computer. You may make one (1) backup copy of the Software and Software data files for archive purposes.

Multi-User Version
If you have purchased the multi-user version of the Software, you are granted a limited non-exclusive license to: (i) place a copy of the Software and Software data files on a single network server, (ii) may make one (1) backup copy of the Software and Software data files for archive purposes and (iii) allow the number of users licensed simultaneous access to the Software; PROVIDED HOWEVER, that you have purchased Software licenses from IDS for the number of computer(s) simultaneously accessing the Software.

General Provisions

This Agreement sets forth IDS' entire liability and your exclusive remedy with respect to the Software. You acknowledge that this Agreement is a complete statement of the agreement between you and IDS, and that there are no other prior or contemporaneous understandings, promises, representations, or descriptions regarding the Software or any related services. This Agreement does not limit any rights that IDS may have under trademark, trade secret, copyright, patent, or other laws. If any provision of this Agreement is invalid or unenforceable under applicable law, then it is, to that extent, deemed omitted and the remaining provisions will continue in full force and effect. The validity and performance of this Agreement shall be governed by New Jersey law (without reference to choice of law principles), except as to copyright and trademark matters, which are covered by federal laws.

1. Making additional copies of the Software or enabling others to use your registration code(s) or license number(s) is strictly prohibited. It is also prohibited to give copies to any entity who has not purchased a license for the Software from IDS; to install the Software on computers used by entities who have not purchased licenses for the Software from IDS; or to duplicate the Software by any other means.

2. The Software in its entirety is protected by copyright laws. You may not modify, adapt, translate, sublicense, assign, loan, resell, or distribute the Software, or related materials, or create derivative works based upon the Software or any part thereof.

3. This Agreement is your proof of license to use the Software in accordance with the terms of this Agreement, and must be retained by you. You may not rent, lease, or permanently assign your rights to the Software under this Agreement without the prior expressed written consent of IDS. In the event IDS grants such approval, assignee must agree to adhere to all the terms and conditions of this Agreement.

4. The Software contains IDS trade secrets, and you may not ALTER, MODIFY, REVERSE ENGINEER, DE-COMPILE, DISASSEMBLE, or otherwise reduce the Software to human-perceivable form or disable any functionality which limits the use of the Software.

5. Limited Warranty. IDS warrants that the Software will perform substantially in accordance with the accompanying written materials and that the printed materials and diskettes are free from any physical defects for a period of ninety (90) days from the date of installation. Any implied warranties on the Software, printed materials or diskettes are limited to ninety (90) days.
