9. No Liability For Consequential Damages. IN NO EVENT SHALL IDS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL OR INDIRECT DAMAGES OF ANY KIND ARISING OUT OF THE USE OF THE SOFTWARE, EVEN IF IDS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND IN NO EVENT WILL IDS’S LIABILITY FOR ANY CLAIM, WHETHER IN CONTRACT, TORT OR ANY OTHER THEORY OF LIABILITY, EXCEED THE LICENSE FEE PAID FOR THE SOFTWARE. 10. Governing Law. This Agreement is governed by the laws of the United States of America and the State of New Jersey. 11. Entire Agreement. This is the entire agreement between you and IDS which supersedes any prior agreement, whether written or oral, relating to the subject matter of this Agreement.
