This Agreement, effective this ____day ____________, 200_, by and between Innovative Data Solutions, Corp (“IDS”), with its offices located at 1358 Hooper Ave. PMB 284, Toms River, New Jersey, 08753 and   _______________________________, with offices located at _______________________________   ______________________________________________ (“LICENSEE”).

  Recitals:

Whereas, LICENSEE has purchased IDS’ Route Expert software product and entered into a Software License Agreement with IDS; and

Whereas, LICENSEE desires to purchase a Software Support Agreement (“SSA”) for maintenance of the Route Expert Software (“Software”) developed by IDS; and

Whereas, IDS is willing to provide software support services under the SSA for the Software;

Now Therefore, on the terms and conditions contained herein, the parties agree as follows:

1. Services Included in this Agreement: This Agreement is intended to provide technical support and maintenance  for the Software, as described herein. The Software must be installed on a computer system approved 
by IDS’ support personnel. This SSA relates only to the specific Route Expert Software purchased by LICENSEE. 
This SSA includes the following services:

 

A.    Technical Support:  IDS shall provide technical support and assistance in the use of the Software.  In addition, IDS shall diagnose and repair problems relative to the Route Expert Software. LICENSEE shall inform IDS of any problems arising from the use of the Software. The disposition for diagnosed and reported problems concerning their severity and scheduling for repair, shall be the sole decision of IDS.

B.    Support Hours:  IDS shall provide the technical support and assistance as described herein, via a toll free number during normal business hours by qualified support personnel.

C.   Software Updates:  In addition to providing technical support and assistance with the Software, IDS shall periodically make available to LICENSEE, announced program updates to the Software. These updates may include functional enhancements and/or improvements for additional system devices or functionality. LICENSEE must be current with all payments required under by the SSA to receive the analysis, repair, updates, functional enhancements and minor fixes of the Software "free" of any other charges and fees.

D.    Authorized Representatives: Upon the execution of this Agreement, LICENSEE shall provide IDS with the names and titles of no more then three designated representatives of LICENSEE authorized to contact IDS for technical support or assistance.  These representatives must have a working knowledge of the Software and operating systems on which it is installed.

E.   Remote Support: LICENSEE is required to provide IDS with the ability to access the Software via either a dialup or internet connection to be used for remote support, diagnostics and providing updates to the Software. LICENSEE is responsible for acquisition, installation and maintenance of the hardware and communications lines, as well as the communications software, required to provide IDS with the necessary connectivity.
